Message Science LLC — Terms of Service

Important: These Terms of Service ("Terms") form a legally binding agreement between you ("Customer," "you," or "your") and Message Science LLC ("Message Science," "we," "us," or "our"). By opening or using a Message Science email mailbox or any related service (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Message Science provides cloud-based email mailboxes, webmail, and related features ("Email Services") delivered on a software-as-a-service (SaaS) basis. We may update or modify the Service from time to time, provided that changes will not materially reduce core functionality without reasonable notice.

2. Eligibility & Account Registration

  1. You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract.
  2. When you register, you agree to provide accurate, complete, and current information and to keep it updated.
  3. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Acceptable Use

You agree not to:

  • Use the Service for unsolicited bulk email ("spam"), phishing, or any deceptive or fraudulent activity.
  • Upload or distribute material that is unlawful, harmful, defamatory, or infringing.
  • Interfere with or disrupt the integrity or performance of the Service or networks.
  • Attempt to gain unauthorized access to accounts, systems, or data.
  • Send or store malicious code, viruses, or scripts.

We reserve the right to investigate violations and to suspend or terminate accounts in our sole discretion.

4. Payment & Billing (Paid Plans)

  • Fees: Pricing and subscription options are described on our website or order form.
  • Billing cycle: Unless stated otherwise, plans renew automatically at the end of each billing period.
  • Taxes: Fees exclude taxes; you are responsible for any applicable taxes.
  • Late payments: We may charge interest (1.5 % per month or the maximum allowed by law, whichever is lower) on overdue amounts and may suspend the Service for non-payment.

5. Service Availability & Support

We strive for high availability but do not guarantee that the Service will be uninterrupted or error-free. Scheduled maintenance, emergency downtime, or factors outside our control (e.g., internet failures) may affect availability. Our support resources and response times are outlined in your plan description.

6. Intellectual Property

All software, trademarks, and content used to provide the Service are owned by Message Science or its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business or personal purposes. No other rights are granted.

7. Data Security & Privacy

  • Security: We implement commercially reasonable technical and organizational safeguards.
  • Privacy: Our use of personal data is governed by the Message Science Privacy Policy (incorporated by reference).
  • Customer content: You retain all rights to the email content stored in your mailboxes. You grant us a limited license to host, back up, and transmit that content as necessary to provide the Service.

8. Termination

  1. By you: You may cancel at any time through your account settings; cancellation will take effect at the end of the current billing period unless earlier termination is required by law.
  2. By us: We may suspend or terminate the Service with notice if you breach these Terms or for any reason upon 30 days' notice.
  3. Effect: Upon termination, your right to use the Service stops immediately, and we may delete your data after 30 days unless longer retention is required by law or backup policy.

9. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Message Science disclaims all warranties, express or implied, including fitness for a particular purpose, non-infringement, and availability. You use the Service at your own risk.

10. Limitation of Liability

To the maximum extent allowed by applicable law, in no event will Message Science, its affiliates, or suppliers be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill, even if advised of the possibility. Our aggregate liability arising out of or relating to the Service will not exceed the total fees you paid to Message Science in the twelve months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Message Science and its officers, directors, employees, and agents from any claims, damages, losses, and costs (including reasonable attorney fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any rights of a third party.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Denver County, Colorado. You waive any objection to venue.

13. Changes to These Terms

We may amend these Terms from time to time. If we make material changes, we will provide at least 30 days' notice via email or through the Service. Continued use after the effective date constitutes acceptance of the revised Terms.

14. Miscellaneous

  • Entire agreement: These Terms (and any linked policies) constitute the entire agreement between you and Message Science regarding the Service and supersede all prior agreements.
  • Severability: If any provision is held unenforceable, the remainder will remain in full force.
  • No waiver: Our failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign or transfer your rights without our prior written consent. We may assign our rights and obligations without restriction.
